Transfer of shares or change to beneficial ownership status

If there is a transfer of shares between shareholders, or the beneficial status of a shareholder changes, the company must tell us within 28 days.

If the company is not issuing any new shares but transferring them between members (shareholders), it must tell ASIC about:

Steps to transfer shares or change beneficial ownership status

Log in to the company officeholder portal

Use your ACN or ABN and password to log in.

Start transaction

  • Select the ‘Start new form’ option from the menu.
  • Select ‘Form 484 – Change to Company Details’ from the list of options.
  • Select ‘Change to members register’ from the list.

Make the changes

To transfer shares

  • Remove shares from one shareholder (the person you are transferring from) and add them to another shareholder (the one who is getting the shares).
  • To remove shares, select ‘Change’ or ‘Cease’. Complete details and select the ‘Next’ button.
  • To add shares, select ‘Change’. Complete the details and select the ‘Next’ button.

To change the beneficial status

  • Select 'Change' next to the shareholder's name.
  • Select 'Cease' next to the shareholding you need to change the beneficial status against.
  • Select the 'Next' button to confirm.
  • Select 'Add a new member to the register' (if this is their only shareholding) or 'Add a new holding for this member' (if they have more than one shareholding).
  • Enter the shareholder's details.
  • Enter the shareholder's holding details.
  • Once complete, select the 'Next’ button.

Review and confirm

  • Check the details are correct. If you need to change something, press the ‘Cancel’ button.
  • Select the ‘Next’ button when all changes have been made.

Declare and submit

  • Read the declaration to make sure you agree with it. If you do, select the ‘Yes’ button.
  • Select the ‘Submit’ button to submit the form.
  • You’ll get a message that confirms your request has been submitted.
  • Select ‘Document acknowledgement’ if you want to download a PDF version of the documents. You can print or save the PDF for your records.
