Late company annual review fee

If your company does not pay its annual review fee on time or is late to change incorrect details on the company annual review statement, late fees apply.

When late fees apply

We send an annual statement to all registered companies as part of the company annual review.

Late fees apply if a company is late in:

  • paying your annual review fee
  • changing details shown on the annual statement.

The late fees increase over time, so you should make sure your company meets its obligations as soon as it can.

How we tell you about late fees

We send notices about late fees (called ‘late fee notice’) to one of the addresses listed below. If we do not have details for the first place on the list below, we’ll send it to the second, and so on:

  1. Your company’s registered agent’s address, if it has one.
  2. Your company officeholder portal account, if you have one. You will receive an email with instructions when it’s available.
  3. Your company’s registered office address.

If we do not receive payment after sending the first late fee notice, we will send another.

If we still do not receive payment, we send a final letter of non-compliance to each director’s residential address.

Even if we send a letter of non-compliance to your registered agent’s address, your company is still responsible for meetings its obligations on time. Your company should keep its contact address up to date. If you change address, or no longer use your registered agent’s address, you should change your company’s address.

Fees for being late to pay your annual review fee

Late fees apply if you do not pay the company annual review fee on time. The due date is on the annual statement. It is 2 months after the company’s annual review date.

The late fees are:

  • $98 for payment up to 1 month late
  • $411 for payment more than 1 month late.

Fees for being late to change company annual review details

The company must tell us if any details on your annual statement are incorrect within 28 days of when it was issued.

If you do not notify us of changes needed within 28 days, the following late fees apply:

  • $98 for notifying us up to 1 month late
  • $411 for notifying us more than 1 month late.

Late fees for not updating your annual review details are in addition to late lodgement fees for not telling us about changes to your company details as they occur throughout the year.

How to pay

Pay late fees using the details on the invoice we send you. The invoice has different payment options, including credit card and BPAY.

Late fee waivers

If there were circumstances beyond your control, you can ask us to review a late fee. We may cancel (waive) the fee.
